Terms and conditions of business.

1 - Prices are quoted in pounds sterling and are exclusive of VAT. VAT at the current rate will be applied to all invoices, in the absence of exemption.

2 - Prices may be changed without prior notification. The current price in force will be confirmed on ordering. Dentoid Ltd reserves the right to correct clerical errors and omissions.

3 - Payment should be received by Dentoid Ltd on or before the 20th of the month following the date of invoice. Accounts not paid by 30th of the month following invoice date are considered overdue. If you have any dispute or counterclaim against us, you will not be entitled to make any reduction in, or deferment of payment because of that dispute or counterclaim. If your account is overdue you may invalidate your warranty until the arrears are cleared.

4- We reserve the right to cancel all discounts,(ie charge full RSP),  and to charge interest under the late payment legislation on overdue accounts. Interest on overdue accounts when charged will be calculated at 8% above the current base lending rate of Bank of England, on the amount outstanding until the debt has been paid in full. 5 - Should damaged and or short deliveries occur, Dentoid  should be notified within two days by telephone, and confirmed in writing within seven days. Please inspect deliveries while drivers are there for both damage or shortages of goods. Failure to do so will leave you with no recourse.

6 - Dentoid Ltd can despatch goods direct to a retailer's customer. Trade discount allowed will be reduced for direct sending. Trade discounts are available on application.

7 -Dentoid Ltd will not be held responsible for consequential damage or loss from any cause whatsoever resulting from the use or misuse of products supplied.

8 - Title of goods shall not pass to the purchaser until payment has been made in full for the goods and services supplied directly or indirectly by Dentoid Ltd. Goods not paid for may be recovered at any time from the buyer. We may enter your premises and recover the goods, which have not been paid for in full. The buyer is responsible for the safe custody and correct storage of the goods until payment is made in full.

9 - You are allowed to sell on the goods in the ordinary course of your business and if you do title to the goods sold will pass to the person who buys them from you on delivery to them. If you sell the goods to a third party before you have paid for them you will hold the proceeds of that sale on trust for us pending payment. We will have the right to require you to direct the third party to pay the money they would have paid to you directly to us instead and at our request you will assign to us any rights or claims you have against your customers in relation to the goods.

10 a- Returns of stocked items will only be accepted by prior arrangement. Items must be resaleable i.e. not used and in unopened original packaging as supplied. Credit will be applied to your account less a 20% restocking fee based on the RSP. ( Opened items or items returned using product outer as the shipping carton are subject to 40% restocking fee). Credit on your account will be offset against future or existing outstanding purchases from Dentoid. Products which are alleged to be faulty should be returned carriage paid to Dentoid Ltd. Any alleged fault should notified in writing prior to the return of the item, giving full details and circumstances of the alleged fault. Used items will only be accepted in the event of a manufacturers defect that can be repaired under warranty.

temperature sensitive goods

power whitening materials

sterile products

determined shelf life products

are not usually accepted unless there is a manufacturers defect which necessitates a product recall.    

11 - Dentoid Ltd warrants that all goods supplied will be free from defect of workmanship or material under normal use and service in the manner specified by the manufacturer, and will credit any goods provided should they fail in normal use and service as laid down by the manufacturer.

12 - In the rare event of account queries these should be addressed to Dentoid Ltd  as soon as they should become apparent such that an early resolution can be found.

13 - The company reserves the right to charge for deliveries on any value of order.

14 - Data Protection. In the course of dealing with us you will supply to us data which we will collect and retain. Some or all of that data may be personal data which is subject to the Data Protection Act 1998. The data you supply to us will be processed by us to execute your order, to monitor your account, to select and send you marketing material and periodically to conduct trade and bank reference enquiries and other credit checks. This will involve the disclosure of your data to and from third parties. You consent to the processing of your data for those purposes.

15 a - Validity, construction and performance of this contract will be governed by and interpreted in accordance with English law.  

b - The customer and Dentoid irrevocably accept the non-exclusive jurisdiction of the English courts.

c - Dentoid will be under no responsibility to ensure that any such agent or retailer discharges their obligations that they have made to the customer, which have not been made by Dentoid.

d- The customer:

        i) waives any objection to the English courts including an objection on grounds of inconvenience; and

        ii) agrees that a judgement or order of an English court in connection with this contract is binding on it and may be enforced against it in the courts of any other jurisdiction

16 - The interpretation of any clause or sub-clause above will not in any way be limited or restricted by reference to or inference from any other clause or sub-clause is unenforceable according to its terms then the others will remain in full force and effect.

17 - New customers will be required to pay in advance, unless they can provide satisfactory trade references from suppliers known to Dentoid. Credit facilities are reviewed regularly based on trading performance. Dentoid reserves the right to remove a credit facilities.

18 - Dentoid recommends that all medical or cosmetic conditions should be treated by a dentist, doctor, or trained professional competent in treating that particular condition. Dentoid takes no responsibility for a person choosing to treat themselves or others without first consulting a relevant dentist, doctor, or trained professional for the treatment being administered.

19 - The Customer shall:
19.1.1 be responsible for financing the collection, treatment, recovery and environmentally sound disposal of:
19.1.1.1 all WEEE arising or deriving from the Products; and
19.1.1.2 all WEEE arising or deriving from products placed on the market prior to 13 August 2005 where such products are to be replaced by the Products and the Products are of an equivalent type or are fulfilling the same function as that of such products;
19.1.2 comply with all additional obligations placed upon the Customer by the WEEE Regulations by virtue of the Customer accepting the responsibility set out in clause 19.1.1; and
19.1.3 provide the Producer's WEEE compliance scheme operator with such data, documents, information and other assistance as such scheme operator may from time to time reasonably require to enable such operator to satisfy the obligations assumed by it as a result of the Producer's membership of the operator's compliance scheme.
19.2 The Customer shall be responsible for all costs and expenses arising from and relating to its obligations in clause 19.1.

'WEEE' means waste electrical and electronic equipment as defined in the WEEE Regulations 'WEEE Regulations' means The Waste Electrical and Electronic Regulations 2006 (SI 2006/3289)

20 - You on placing an order agree to these terms unreservedly.
